Ocean Running Club – Bylaws
Name & Purpose
The Ocean Running Club exists to promote running, walking, and fitness through group runs, races, and social events, while encouraging community involvement and charitable support.
Membership
- Open to anyone interested in running or supporting the Club.
- Annual dues set by the Board.
- Members may vote, hold office, and participate in all activities.
Meetings
- General meetings held at least 4 times a year.
- Annual meeting includes officer elections and reports.
- Quorum = 10% of members or 15 members (whichever is fewer).
Officers
- President – leads the Club.
- Vice President – assists the President.
- Secretary – records meetings and correspondence.
- Treasurer – manages finances.
- Membership Chair – manages membership records.
- Race Director(s) – oversee races and events.
- Officers serve 1-year terms, elected annually.
Executive Board
- Includes officers and appointed committee chairs.
- Meets monthly or as needed to manage Club business.
Committees
- Formed as needed (races, social events, volunteers, etc.).
Finances
- Nonprofit; funds only used for Club purposes.
- Treasurer provides an annual financial report.
- Fiscal year is January 1 – December 31.
Amendments
- Proposed in writing and approved by 2/3 of members present at a meeting with at least 2 weeks’ notice.
Dissolution
- Assets go to a nonprofit consistent with the Club’s mission.
